1. Who We Are and What This Document Is

This public offer agreement (hereinafter – the Agreement) is offered by Essent Digital (hereinafter – the Contractor) to any legal entity or sole proprietor (hereinafter – the Client) on the terms set forth below.

The Agreement is public within the meaning of Articles 633 and 641 of the Civil Code of Ukraine: its terms are identical for all Clients. Individual terms (scope, price, deadlines) are specified in the invoice, commercial proposal, or a separate contract; if they conflict with this Agreement, the individual terms prevail.

2. How the Agreement Is Concluded

Submitting a request on essentdigital.com does not constitute concluding the Agreement: it merely provides us with your contact details to arrange a breakdown and scope of work.

The Agreement is deemed concluded upon the Client’s payment of the Contractor’s invoice, in full or in part (acceptance pursuant to Article 642 of the Civil Code of Ukraine). By paying the invoice, the Client confirms that they have read this Agreement and accept its terms.

3. Subject of the Agreement

The Contractor provides marketing services, the list and scope of which are specified in the invoice or commercial proposal: setup and management of ads on Meta, Google, TikTok; SMM; website and landing page development; CRM implementation and integrations; chatbots and automations; email marketing; SEO optimization; consulting and training; strategic support (Growth Partner).

The Contractor commits to take action: set up, manage, analyze, and report. The subject of the Agreement is the process of providing services, not the achievement of a specific commercial metric.

4. Price, Payment, and Ad Budget

Prices on the website are listed as “from” and serve as an estimate. The final cost is specified in the invoice after reviewing the task.

Services are paid in advance for the billing period (typically one month) within the timeframe specified in the invoice. The Contractor begins work after payment is received.

The ad budget is not included in the service fee. The Client pays it directly to the advertising platforms (Meta, Google, TikTok, and others) from their own ad accounts, unless the parties have agreed otherwise in writing.

5. Rights and Obligations of the Parties

Contractor: provides services in the agreed scope; reports on completed work and key metrics in the agreed format and frequency; notifies the Client of risks and issues identified outside their area of responsibility.

Client: promptly provides access credentials, materials, approvals, and information required for work; pays for services and ad budget; is responsible for the legality of their product or service, the accuracy of information about them, and rights to the provided materials.

Ad accounts, pages, domains, CRM, and other assets created for the Client belong to the Client. Upon termination of cooperation, the Contractor transfers access credentials and deliverables paid for by the Client.

6. Acceptance of Services

Upon completion of the billing period, the Contractor sends a report and a certificate of completed services (including in electronic form). If within 5 business days the Client has not submitted reasoned objections, the services are deemed accepted in full.

7. Liability and What We Do Not Guarantee

The parties are liable for breaches of the Agreement in accordance with the legislation of Ukraine.

The Contractor does not guarantee a specific number of leads, sales, reach, search rankings, or return on ad spend (ROAS): results also depend on the product, pricing, performance of the Client’s sales team, the market, and platform algorithms.

The Contractor is not liable for ad account suspensions or ad disapprovals due to reasons beyond their control; for outages of third-party services (ad platforms, hosting, CRM, messengers); for the consequences of changes made to accounts or settings by the Client or third parties without the Contractor’s prior approval.

8. Force Majeure

The parties are relieved of liability for failure to perform obligations due to force majeure circumstances certified in accordance with established procedures, including martial law, military hostilities, prolonged power or communication outages, government decisions, as well as mass bans or policy changes by advertising platforms that make the provision of services impossible.

9. Confidentiality and Personal Data

The parties shall keep confidential each other’s proprietary information obtained during cooperation, including access credentials, financial metrics, customer databases, and advertising performance, and shall not disclose it without the other party’s prior written consent, except as required by law.

The Contractor may publish work results as a case study only after approval from the Client.

Processing of personal data collected through the website is described in the Privacy Policy. If the Client transfers their customers’ data to the Contractor (for example, a database for advertising or newsletters), the Contractor processes it solely under the Client’s instructions and solely to provide services; the Client warrants that they have lawful grounds for such transfer.

10. Term and Termination

The Agreement remains in effect until full performance by the parties of their obligations under paid invoices.

Either party may terminate the Agreement by giving written notice to the other party at least 14 calendar days in advance. Services rendered prior to the termination date must be paid in full; advance payments for unrendered services are refunded proportionally.

11. Dispute Resolution, Electronic Workflow, and Amendments

Disputes are resolved through negotiations, and if no agreement is reached – in court in accordance with the legislation of Ukraine.

The parties acknowledge the legal validity of electronic documents and correspondence, including by email and messengers, in accordance with the Laws of Ukraine “On Electronic Commerce” and “On Electronic Documents and Electronic Document Management”.

The Contractor may amend this Agreement by publishing a new version on the website. For already paid periods, the version effective at the time of payment applies.

1. Who Processes Your Data

The personal data controller is Essent Digital (hereinafter – we).

For any questions regarding your data, email info@essentdigital.com. We respond within 30 calendar days.

This policy applies solely to the website essentdigital.com and the requests you submit on it. The customer data of our clients with whom we work under contract is processed according to the client’s instructions and the terms of our contract with them.

2. What Data We Collect

Data you enter into the request form: name, phone number, Instagram or website (if provided), message text, and selected service.

Data the website automatically attaches to the request: the page from which the request was sent, the referring website, campaign tags (UTM, gclid, fbclid), the dates of the first and last visits from ads, country, date and time of the request, and the form name.

We do not store your IP address. The website converts it into an irreversible hash to limit spam submissions from a single address; reconstructing the IP address from it is impossible.

Cloudflare Turnstile protects the website against bot submissions. It analyzes technical browser and device signals (including IP address) on Cloudflare’s side; we do not receive or store this data.

If you message our Telegram bot @essent_digital_bot: your Telegram name and username, your Telegram interface language, what you send to the bot (text, images, videos, stickers, files), and your phone number only if you choose to share it. The bot forwards this to a private team group so we can reply, and keeps the link “group message – your account” for up to 90 days so our reply reaches you.

So that the bot can answer your question or meme, the message text, caption and image are processed by OpenAI. Messages containing a phone number are not sent to OpenAI; only our team sees them. The bot remembers the latest turns of the conversation for 24 hours and then deletes them; the /start command erases them immediately.

If you agreed to this in the cookie banner: data about your visit (pages viewed, clicks, device and browser type, approximate location, where you came from) is collected by the analytics and advertising services listed in the Cookie Policy. If you agreed to advertising cookies and submitted a request, the website sends Meta the fact of the request together with your irreversibly encrypted (hashed) phone number and name to measure advertising performance.

3. Why and on What Legal Basis

To contact you, conduct a free breakdown, and prepare a proposal – actions taken at your request prior to entering into a contract.

To understand which advertising channels bring requests and not to waste budget – our legitimate interest regarding campaign tags; analytics and advertising services run only with your consent in the cookie banner, which you can withdraw at any time.

To protect the website against spam and abuse – legitimate interest.

To perform the contract if you become our client, and to maintain records required by law.

We do not send newsletters or direct ads to your contacts. If we ever offer this, we will ask for separate consent.

4. Who Else Sees Your Data

Cloudflare, Inc. – website hosting and database of requests; data is stored within the European Union jurisdiction; Cloudflare also provides Turnstile protection.

Google (Gmail) – the inbox where copies of requests are delivered.

Telegram – a private sales team group that receives notifications about requests and messages sent to our bot @essent_digital_bot.

OpenAI – generates our Telegram bot’s replies to your messages.

Google (Tag Manager, Analytics, Ads), Microsoft (Clarity), Meta (Pixel and Conversions API), TikTok and LinkedIn – analytics and advertising services; they run only after your consent in the cookie banner.

Essent Digital employees and contractors who process requests, and only to the extent necessary for their work.

We do not sell your data or share it with advertisers. To government authorities – only in cases and procedures explicitly provided by law.

Some of these services process data outside Ukraine; we choose providers that ensure adequate data protection.

5. How Long We Keep Data

Requests that did not turn into cooperation – up to 24 months from the last contact, then deleted.

Client data – during the term of the contract and for 3 years after its termination (statute of limitations) or longer if required by tax law.

Conversation history with the bot – 24 hours; the “group message – your account” mapping – up to 90 days.

Technical data in your browser – as described in the Cookie Policy.

6. Your Rights

Pursuant to Article 8 of the Law of Ukraine “On Protection of Personal Data”, you have the right to know what data of yours we process, where, and for what purpose; obtain a copy; request correction of inaccurate data or deletion; object to processing; and withdraw consent if processing is based on it.

If you are located in the European Union, you also have rights under Articles 15–21 of the EU General Data Protection Regulation (GDPR), including the right to restriction of processing and data portability.

To exercise your rights, email info@essentdigital.com. If you believe your rights have been violated, you may file a complaint with the Ukrainian Parliament Commissioner for Human Rights, a court, or in the EU – with the supervisory authority of your country (in Poland – Prezes Urzędu Ochrony Danych Osobowych).

7. How We Protect Data

The website operates exclusively over a secure HTTPS connection. Access to the request database is restricted to authorized personnel. Raw IP addresses are not stored. Service API secrets are kept separately from the website codebase.

8. Policy Changes

We update this policy whenever services or data processing methods change, indicating the date of the new revision at the top of the document. If changes affect data you have already provided, we will notify you.

1. What Cookies and Similar Technologies Are

Cookies – small files that a website stores in your browser. The browser’s local storage (localStorage) works in a similar way. Below is the full list of what essentdigital.com uses.

2. Essential: Always Active

ed_consent – remembers your cookie preferences so the banner does not reappear every time. Lifespan – 180 days.

ed_theme (local storage) – remembers dark mode if you turned it on using the header toggle. Appears only after clicking and disappears when you switch back to light mode.

Cloudflare technical cookies (e.g., __cf_bm) and Turnstile verification – protect the website and request form from bots. Lifespan – from session to 30 minutes.

Without these technologies, the website and request form cannot function, so no consent is required for them.

3. Analytics and Advertising: Only with Your Consent

ed_attribution_v1 (local storage) – remembers which ad or website you came from first and last, helping us see which channels generate leads. Contains only campaign tags and dates, without your contact details. Lifespan – 90 days.

After your consent, the website enables services through Google Tag Manager. “Analytics” category: Google Analytics and Microsoft Clarity (which pages you view and what you click; Clarity also records the session and by default masks what you type into fields). “Advertising cookies” category: Meta Pixel, Google Ads, TikTok Pixel and LinkedIn Insight Tag (measuring advertising performance and showing ads to people who have visited the website). These services set their own cookies (for example, _ga, _clck, _fbp, _ttp, li_fat_id) for up to 2 years.

Without your consent, these services do not store cookies and do not receive data that identifies you. In consent mode, Google may receive anonymous signals without cookies.

4. Managing Your Choices

On your first visit, the website displays a banner: “Accept all”, “Essential only”, or “Customize” by category. Declining is just as easy as accepting.

You can change your preferences at any time via the “Cookie settings” link in the website footer or by clearing cookies and site data in your browser settings.
